Retailer Business Terms
Hoppy Butterfly | EasyWebOS Inc.

These Business Terms govern a retailer's business account and use of Hoppy Butterfly. By accepting them for a business, the person accepting confirms that they are authorized to bind that business to an agreement with EasyWebOS Inc.
1. Business Eligibility and Authorized Users
The retailer must be a legitimate business and must provide accurate account and business information. The person registering confirms they are at least 20 years old and authorized to act for the retailer. The retailer is responsible for activity by its owners, employees, contractors and other authorized users. As multi-user functionality becomes available, the retailer is responsible for managing authorized access and promptly removing access that is no longer appropriate.
2. Current Free Access and Future Paid Services
Retailer access and current retailer tools are presently provided without charge. Hoppy Butterfly may introduce paid subscriptions, premium tools, advertising or other paid services in the future. Pricing and any additional terms will be disclosed before a retailer purchases or subscribes. No future fee will apply merely because the retailer previously created a free account.
3. Retailer Information, Menus, Pricing and Availability
The retailer is responsible for the accuracy and legality of information it supplies or approves, including venue details, opening information, menu selections, prices, stock or availability and other retailer-specific content. Hoppy Butterfly may supply underlying beer master data and may assist with data entry or account setup. A Hoppy Butterfly country partner or support team may also assist a retailer. Such assistance does not transfer responsibility for the retailer's underlying business information, pricing, availability or legal compliance to EasyWebOS Inc.
4. Platform and QR Menu
Hoppy Butterfly may provide digital menu, QR, discovery, venue-listing and related tools. The retailer is responsible for how those tools are used at its venue and for keeping retailer-controlled information reasonably current.
5. Alcohol, Advertising and Regulatory Compliance
Hoppy Butterfly is a technology, information and discovery platform and does not by providing a retailer account become the seller or supplier of alcohol. The retailer remains solely responsible for its licences, sales practices, age controls, advertising, promotions, pricing and other activities and for compliance with laws applicable to its business and market.
6. Business Content and Licence
The retailer retains ownership of its pre-existing trademarks and business content. By providing logos, photographs, venue information, menus or other materials, the retailer confirms it has authority to provide them and grants EasyWebOS Inc. a worldwide, non-exclusive, royalty-free licence to host, reproduce, display, adapt, format and translate them as reasonably necessary to operate, market and promote Hoppy Butterfly and the retailer's presence on the service.
7. Reviews and Community Content
Retailers may respond or participate where platform functionality permits, but must not offer improper incentives for positive reviews, coordinate false ratings, pressure users to remove legitimate negative feedback, create fake accounts or otherwise manipulate the Butterfly Score, rankings or community signals.
8. Brand and Intellectual Property
The retailer receives only the limited permission necessary to use Hoppy Butterfly materials made available for its participation. Hoppy Butterfly branding, software, data structures, Butterfly Score, badges/Amulets and other platform IP remain owned by or licensed to EasyWebOS Inc.
9. Data, Privacy and Account Security
The retailer must protect account credentials and use personal information accessed through the service only as permitted by law and the platform. EasyWebOS Inc.'s Privacy Policy applies to personal information processed through Hoppy Butterfly.
10. Suspension and Removal
EasyWebOS Inc. may correct or remove inaccurate listings or content and may suspend or terminate a business account for abuse, manipulation, security concerns, unlawful activity, infringement, persistent inaccuracy or breach of these Terms. Where practical and appropriate, we may first request correction.
11. Platform Changes and Availability
Hoppy Butterfly may change or discontinue features and does not guarantee uninterrupted service. Material changes to these Terms will be notified or presented for renewed acceptance where appropriate.
12. Liability
To the maximum extent permitted by applicable law, EasyWebOS Inc. is not responsible for the retailer's business operations, sales, stock, pricing, customer transactions, regulatory compliance or information controlled by the retailer. Nothing excludes liability that cannot lawfully be excluded.
13. Governing Law
These Terms are governed by the laws of the British Virgin Islands. To the maximum extent permitted by applicable law, disputes arising from or relating to these Terms will be subject to the jurisdiction of the courts of the British Virgin Islands.
